Terms of Service

Please read these Terms of Service ("Terms") carefully before using VPAT Score ("the Service," "we," "us," or "our"), operated by VPAT Score at vpatscore.com. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

VPAT Score is a web-based tool that parses Voluntary Product Accessibility Template (VPAT) documents and generates accessibility conformance scores, letter grades, and risk ratings based on WCAG 2.1 and 2.2 criteria. The Service is intended to assist procurement professionals in evaluating vendor accessibility claims.

2. Subscriptions and Billing

VPAT Score offers both a free tier and paid subscription plans (Pro, Team, and Enterprise). By selecting a paid plan, you agree to the following:

  • Free trial. Paid plans include a 14-day free trial. You will not be charged until the trial ends. You may cancel at any time during the trial without charge.
  • Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date.
  • Payment processing. All payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees.
  • Plan changes. You may upgrade or downgrade your plan at any time through the billing portal. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of the current billing period.
  • Cancellation. You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide refunds for partial billing periods.
  • Failed payments. If a payment fails, your account will be downgraded to the free tier until payment is resolved. We may attempt to retry failed payments.
  • Price changes. We reserve the right to change subscription prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
  • Taxes. Prices do not include applicable taxes. You are responsible for any taxes imposed on your use of the Service.

4. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements and that all information you provide is accurate and complete.

5. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts at our sole discretion.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Upload malicious files, scripts, or content designed to harm the Service or other users
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to process documents you do not have the right to upload
  • Resell, sublicense, or commercially exploit the Service without our written consent
  • Interfere with or disrupt the integrity or performance of the Service

7. Uploaded Documents and Confidentiality

If a VPAT or accessibility conformance report you upload is subject to a non-disclosure agreement (NDA) or other confidentiality obligation, you are solely responsible for determining whether uploading that document to the Service is permitted under your obligations. VPAT Score does not review uploaded documents for confidentiality markings and assumes no responsibility for your compliance with third-party agreements.

Uploaded files are processed in memory and are not stored on our servers. However, the structured conformance data and vendor remarks extracted from your documents are stored in our database to power your review history and account features. By uploading a document, you represent that you have the right to do so and grant us a limited license to process its contents solely for the purpose of providing the Service to you.

8. Accuracy Disclaimer

VPAT Score parses documents using automated methods. Parsing accuracy may vary depending on document format, layout, and quality. Scores, grades, and risk ratings generated by the Service are based on algorithmic analysis of vendor-supplied conformance claims and do not constitute an independent accessibility audit or verification. We make no representation that vendor conformance claims are accurate, complete, or truthful.

The output of VPAT Score is informational only and should not be relied upon as the sole basis for any procurement, legal, or compliance decision. You are responsible for independently verifying accessibility information before making procurement decisions.

9. No Professional Advice

Nothing in the Service constitutes legal, compliance, accessibility, or professional advice of any kind. Use of the Service does not create any professional relationship between you and VPAT Score.

10. Intellectual Property

The Service, including its software, design, scoring methodology, and content, is owned by VPAT Score and protected by applicable intellectual property laws. You retain ownership of any documents you upload. You grant us no rights to your uploaded documents beyond what is necessary to provide the Service.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VPAT SCORE, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

14. Indemnification

You agree to defend, indemnify, and hold harmless VPAT Score and its owners, officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any NDA, confidentiality obligation, or intellectual property right; (d) any procurement decision you make based on Service output; or (e) any content you upload to the Service.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through your profile settings, which will permanently remove all associated data.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration or resolved in a court of competent jurisdiction, as mutually agreed by the parties.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date and, where appropriate, by sending an email to the address on your account. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and VPAT Score regarding the Service and supersede all prior agreements and understandings.
